General Terms and Conditions for the VENYA Club

These terms and conditions govern membership in the VENYA Club, a free loyalty program of VENYA GmbH, located at In der Aue 4, 69118 Heidelberg. As a member of the VENYA Club, you collect points through various activities and purchases at VENYA, which you can redeem for attractive benefits and discounts.

Membership is free and enhances your VENYA experience with exclusive offers and services. Membership in the VENYA Club is individually designed for each customer and limited to one membership per person. This offer is aimed at all natural persons who are at least 18 years old at the time of registration and whose main residence is in Germany or Austria. Legal entities, companies, or other organizational forms are excluded from participation in the VENYA Club.

By registering for the VENYA Club, you fully accept these terms and conditions of participation and agree to the processing of your data in accordance with VENYA's privacy policy.

1. Registration for the VENYA Club

Registration for the VENYA Club is done via our website www.venya.de. Accurate and complete personal information is required during the registration process. After successful registration, your points collection will begin automatically.

2. Earn points

Within your VENYA Club membership, you earn points in a variety of ways:

  • When you first register in the VENYA online shop, you will receive 300 points as a welcome gift.
  • To celebrate your birthday, we are gifting you 500 points, provided your date of birth is correctly stored in your profile.
  • As an Instagram follower, we're rewarding your loyalty with 200 points.
  • For every euro spent in the VENYA online shop, we will add 10 points to your account, provided you are logged in during the purchase.

3. Use of Collected Points

To take advantage of certain offers and benefits, you must have accumulated a set minimum number of loyalty points. You can use these points during the checkout process in our online shop. Please note that some benefits can only be used on a subsequent purchase.

Each loyalty point is worth 0.01 Euro, which will be credited to you as a discount on your next purchase. Additionally, we run special promotions at certain times, allowing you to exchange your points for unique advantages.

4. Validity and Management of Points

Your loyalty points collected within the VENYA Club remain valid for 24 months from the date of their credit, unless they are redeemed for a reward earlier. Should no new points be added to your account within a period of 18 consecutive months, VENYA reserves the right to delete both the respective points account and the points held within it. To ensure your points balance remains current, we recommend regular participation in VENYA Club activities.

You can conveniently view your current points balance at any time in your customer account on the VENYA website. Please note that expired points cannot be renewed, converted into cash, or otherwise transferred.

5. Point removal

In situations where points have been credited to a member account without authorization, VENYA reserves the right to remove these points from the account. Points may be reversed under certain circumstances, including:

  • If points were mistakenly awarded due to a technical error on VENYA's part;
  • Should the points have been credited through fraudulent activities or actions inconsistent with the VENYA Club's established policies;
  • In the event of a full return or cancellation of a purchase, where only points for the returned or canceled portion of the purchase are reversed;
  • Should you decide to close your VENYA customer account for any reason.

In such cases, VENYA will make appropriate corrections to keep the point balance in line with the valid terms and conditions of the VENYA Club.

6. Referral Program

As part of the VENYA Club, we offer a referral program to express our appreciation for recommending our products to friends and acquaintances. This program allows both the referrer (existing club member) and the referred person (new customer) to benefit from a one-time discount.

Voucher Award

For the Referred Person: Every new customer who places an order based on a recommendation from an existing club member receives a voucher for a 15% discount. This discount is valid for a minimum order value of 29 Euros and can be redeemed within six months of issuance. 

For the Referrer: After the referred person successfully redeems the voucher, the referrer will also receive a voucher for a 15% discount on their next order as a thank you. This voucher is valid for a minimum order value of 29 Euros and can be redeemed within 60 days of receipt.

Terms of Participation:

  • The referral program is open to all VENYA Club members.
  • The voucher for the referred person is only valid upon initial registration as a new customer with VENYA.
  • Vouchers cannot be redeemed for cash.
  • The referrer's voucher will only be issued after the referred person has successfully redeemed their voucher.
  • Each advertiser can recruit an unlimited number of new customers and will receive a voucher for each successful referral.
  • Vouchers cannot be combined with other promotions or discounts.

Misuse of the referral program, for example, by referring individuals from the same household or registering multiple times under different identities, will lead to exclusion from the referral program and may result in further sanctions.

The validity of the vouchers is limited in time. Unredeemed vouchers will automatically expire after their validity period and cannot be restored.

7. Termination

You can cancel your VENYA Club membership at any time without having to observe any deadlines. If you decide you no longer wish to be part of the program, you have the option to contact our customer service and request the deletion of your account.

VENYA may also terminate your membership, subject to four weeks' notice. Reasons for such an ordinary termination by VENYA may include extended inactivity of your account, for example, if you have not logged into your customer account or placed any orders within a 24-month period. In such a case, you will be informed in advance of the impending termination. Furthermore, VENYA reserves the right to terminate your membership extraordinarily and with immediate effect if there is a serious breach of the terms of participation, such as fraudulent or false information.

After VENYA has issued a termination, re-registration for the VENYA Club is not permitted without VENYA's express consent. In the event of a regular termination by VENYA, your collected points and benefits remain valid until the termination becomes effective. In the event of self-termination by the member or extraordinary termination by VENYA, all points and benefits will expire immediately upon declaration of termination.

8. Suspension and Exclusion from Participation

VENYA reserves the right to temporarily suspend or permanently delete a member account if a serious violation of the specified terms and conditions is present. This measure will be taken with due consideration for the affected customer. The decision to suspend an account may also be made if there is a justified suspicion of a rule violation, in order to properly investigate the matter. Particularly serious violations, such as providing deliberately false information, may be considered sufficient grounds for such action.

9. General Provisions

Within the VENYA Club, customer accounts and the associated benefits and loyalty points are intended exclusively for personal use and may not be transferred, shared, or merged with other accounts. Only the member who actually paid for the purchases is entitled to accrue the corresponding points and benefits. All information concerning your customer account – including sensitive data such as passwords – must be treated as strictly confidential and should under no circumstances be disclosed to third parties.

Benefits and points acquired in the VENYA Club have no monetary value and are not transferable to other individuals. Should you return goods or cancel your order, the points credited for them will be adjusted or canceled accordingly. This also applies if points were obtained through fraudulent acts or violations of our terms and conditions. Any trading, exchange, or transfer of program benefits to third parties without our consent is strictly prohibited.

If you suspect that a transaction or other activity has not been correctly posted to your account, please contact our customer service immediately – and at the latest within 30 days of the incident – to clarify the matter. Please have all relevant information ready. After this deadline, it will no longer be possible to credit the points.

As a VENYA Club member, you bear full responsibility for the security of your account and login credentials. In case of suspected misuse or violation of the terms and conditions, VENYA reserves the right to temporarily suspend or close the account in question.

Points collected within the VENYA Club do not confer any ownership rights and cannot be converted into cash or otherwise financially compensated. Any attempts to sell, exchange, or transfer points contrary to the stipulated terms will result in the deletion or forfeiture of the points concerned.

10th Amendment to the Terms and Conditions

VENYA reserves the right to amend the VENYA Club's terms and conditions at any time in the future. Reasons for such amendments can be manifold: They range from the necessity to adapt the conditions to altered legal frameworks, to the requirement to comply with court or regulatory orders, to the introduction of new offers or services that necessitate an expansion of the terms and conditions. Changes that exclusively increase customer benefit can also be a reason for an update.

Should changes be made to the terms and conditions, VENYA will inform all club members via email at least two weeks before the planned effective date of the new terms. Members then have a four-week period during which they can terminate their membership if they do not agree with the changes. If no objection is received from the member within this period, the new terms and conditions will be considered accepted. Members will be explicitly informed in the notification email about the possible consequences of not objecting. In the event of an objection, VENYA reserves the right to duly terminate the membership of the customer concerned.

Members also have the option to accept the amended Terms and Conditions by express consent. Specific regulations for changes affecting the content of the program itself can be found in a separate section of these Terms and Conditions.

11. Liability

VENYA shall be liable without limitation for actions based on intent or gross negligence, as well as for all cases falling under the Product Liability Act, and for fraudulent conduct. Furthermore, VENYA assumes full liability for damages caused by slight negligence resulting in injury to life, limb, or health.

For all other situations, a limited liability regulation applies: VENYA is liable for damages caused by slight negligence only if a material contractual obligation (cardinal obligation) is breached – i.e., an obligation whose fulfillment forms the basis of the contract and on which you, as a club participant, may rely. In such cases, liability is limited to damages that were foreseeable as a possible consequence of the breach of obligation at the time the contract was concluded. This limitation of liability for slight negligence also applies to damages caused by VENYA's vicarious agents.

VENYA accepts no liability for indirect damages or loss of benefits that may result from participation in the VENYA Club, unless such damages are the direct result of VENYA's willful misconduct or gross negligence.

12. Final Provisions

The terms and conditions set forth herein and all disputes arising out of or in connection with these terms and conditions are exclusively governed by the laws of the Federal Republic of Germany. Heidelberg is designated as the place of jurisdiction for all legal disputes arising in the context of these terms and conditions.
